In addition to the manufacturer's published documentation, Energy Efficient Solutions may provide supplemental installation resources, best practices, troubleshooting information, instructional videos, calculators, checklists, FAQs, and other educational materials (collectively, the "Energy Efficient Solutions Installation Resources") intended to assist customers in achieving successful installations and avoiding common application problems. These resources are provided solely as a customer service and are intended to supplement—not replace—the manufacturer's current Operating Instructions, Technical Data Sheets (TDS), Safety Data Sheets (SDS), Product Stewardship information, and other manufacturer documentation.

Customers acknowledge that they are ultimately responsible for reviewing and following all applicable manufacturer documentation together with the applicable Energy Efficient Solutions Installation Resources before installing or using these products.

Proper installation includes, but is not limited to, compliance with manufacturer requirements regarding product storage, chemical conditioning, environmental conditions, substrate preparation, application procedures, equipment operation, ventilation, occupancy restrictions, personal protective equipment, and all applicable safety precautions.

Customers further acknowledge that successful installation depends upon proper handling and application of the product under actual jobsite conditions, which are outside the control of Energy Efficient Solutions. The customer remains solely responsible for ensuring that spray polyurethane foam products are properly dispensed, proportioned, and mixed during application, and that all applicable manufacturer instructions, industry standards, building codes, and safety requirements are followed.

Customers who are unfamiliar with the installation of spray polyurethane foam products are encouraged to contact Energy Efficient Solutions prior to installation with any questions regarding product selection, product conditioning, installation procedures, application techniques, or general product use.

Failure to follow manufacturer instructions or the applicable Energy Efficient Solutions Installation Resources may result in reduced product yield, off-ratio foam, improper foam performance, defective installation, increased material consumption, project delays, warranty limitations, property damage, or the inability to return products that have been improperly used or installed.

Introduction

These Terms & Conditions govern your use of the Energy Efficient Solutions website and your purchase of products from Energy Efficient Solutions, LLC ("Energy Efficient Solutions," "EES," "we," "us," or "our"). 7. Orders, Pricing, and Acceptance

All orders are subject to acceptance by Energy Efficient Solutions. Submission of an order through the website or by any other method does not constitute acceptance of the order. Payments may be processed through PCI-compliant third-party payment providers. Energy Efficient Solutions does not store full credit card information.

Orders cancelled after payment has been processed but before shipment may be subject to non-refundable payment processing fees where permitted by applicable law. Processing fees charged by credit card companies, payment processors, financing providers, or other third parties may not be recoverable by Energy Efficient Solutions and may be deducted from any refund where permitted.

Energy Efficient Solutions reserves the right to cancel or hold any order due to suspected fraud, payment verification issues, billing discrepancies, chargeback history, credit concerns, or other risk factors.

Same-Day Shipping

For most in-stock products, orders received before our daily processing cutoff times are typically shipped the same business day.

Current target processing times are generally:

• Small parcel shipments (FedEx, UPS, USPS, or similar carriers): Orders received before approximately 4:00 PM Central Time on normal business days.
• LTL Freight shipments: Orders received before approximately 2:00 PM Central Time on normal business days.

These processing times are goals only and are not guaranteed. Order volume, inventory availability, weather, carrier schedules, payment verification, hazardous material documentation, freight scheduling, staffing, manufacturer delays, and other operational factors may affect shipment timing.

Energy Efficient Solutions reserves the right to modify processing schedules, carrier selection, or shipping methods without prior notice.

Prioritized Processing

Customers who purchase Prioritized Processing, expedited handling, or similar services acknowledge that such services provide expedited order processing within our warehouse operations but do not guarantee same-day shipment or delivery.

Carrier pickup schedules, freight availability, weather conditions, hazardous material documentation requirements, and circumstances beyond our control may still affect shipment timing.

Shipping Methods

Orders may be shipped by parcel carrier, less-than-truckload (LTL) freight, full truckload freight, manufacturer direct shipment, or other commercially reasonable methods selected by Energy Efficient Solutions.

Unless specifically requested and agreed upon in writing, Energy Efficient Solutions reserves the right to determine the carrier, shipping method, packaging configuration, warehouse location, and routing used to fulfill an order.

Orders containing multiple products may ship separately from multiple warehouse locations.

Estimated Delivery Dates

Any delivery dates, transit times, estimated arrival dates, or shipping estimates provided on the website, during checkout, or by customer service representatives are estimates only.

Energy Efficient Solutions does not guarantee delivery by any specific date unless expressly agreed to in writing.

Energy Efficient Solutions shall not be responsible for project delays, labor costs, scheduling conflicts, missed deadlines, lost profits, or other damages arising from shipping delays.

Delays Beyond Our Control

Energy Efficient Solutions shall not be responsible for shipping or delivery delays resulting from circumstances beyond our reasonable control, including but not limited to:

Risk of Loss

Unless otherwise required by applicable law, risk of loss and responsibility for products transfers to the purchaser upon delivery of the shipment to the transportation carrier or upon delivery to the customer, as applicable.

Customers are responsible for providing accurate shipping addresses and ensuring that delivery locations are capable of receiving freight or parcel shipments.

Additional delivery charges resulting from incorrect addresses, refused deliveries, missed appointments, redelivery requests, storage fees, liftgate requirements, limited access locations, residential delivery charges, or other customer-related issues shall be the responsibility of the customer.

13. Inspection Upon Delivery

Customers are responsible for carefully inspecting all shipments immediately upon delivery.

Before signing for freight deliveries, customers should inspect packaging for visible damage whenever reasonably possible.

Any shipping damage, shortages, incorrect products, or missing items should be noted with the carrier at the time of delivery whenever possible and reported to Energy Efficient Solutions promptly.

Visible shipping damage or shortages should generally be reported within five (5) business days after delivery.

Failure to promptly inspect shipments or report damage may limit our ability to assist with freight claims or obtain reimbursement from the carrier.

Customers should retain all packaging materials until shipping claims have been resolved.

14. Returns, Exchanges, and Restocking Fees

Returns are costly for both customers and Energy Efficient Solutions. Customers are encouraged to verify product selection, quantities, specifications, and project requirements before placing an order.

Returns require prior authorization from Energy Efficient Solutions. Unauthorized returns may be refused or returned to the sender at the customer's expense.

Unless otherwise approved in writing, returned merchandise must:

• Be unused.
• Be uninstalled.
• Be unopened when applicable.
• Be in original packaging.
• Be in resalable condition.
• Be adequately packaged to prevent damage during return shipment.

Returns of partial rolls, cut materials, custom products, special-order products, discontinued items, opened hazardous material products, or products that cannot reasonably be resold may not be accepted.

Restocking Fees

Unless otherwise stated, accepted returns are generally subject to a 25% restocking fee.

However, Energy Efficient Solutions reserves the right, in its sole discretion, to reduce or waive all or part of the applicable restocking fee when returned merchandise is received in excellent condition and requires little or no inspection, refurbishment, repackaging, relabeling, or other processing before resale.

Conversely, additional deductions may apply if products are returned with damaged packaging, missing components, damaged containers, excessive labeling, or other conditions requiring additional labor or materials before resale.

Original shipping charges, expedited shipping charges, and handling charges are generally non-refundable.

Return shipping costs are the sole responsibility of the customer unless Energy Efficient Solutions has authorized otherwise in writing.

Approved returned merchandise should generally be received within thirty (30) days of the original purchase date unless otherwise authorized.

Refunds may be issued to the original payment method, by company check, or by another commercially reasonable method determined by Energy Efficient Solutions.

Exchanges

Energy Efficient Solutions generally does not process direct product exchanges.

Customers wishing to obtain different products should follow the applicable return process and place a separate order for replacement products.

Order Cancellations

Orders cancelled after payment has been processed but before shipment may be subject to non-refundable payment processing fees, administrative costs, or other expenses incurred by Energy Efficient Solutions, where permitted by applicable law.

Orders for custom-manufactured products, special-order items, or products already in production may not be cancelled.

15. Hazardous Materials and Spray Foam Products

Many spray polyurethane foam products sold by Energy Efficient Solutions are regulated as hazardous materials under applicable federal transportation regulations, including Title 49 of the Code of Federal Regulations (49 CFR), and may be subject to additional state, local, or carrier requirements.

Customers acknowledge that hazardous material products require specialized packaging, labeling, documentation, carrier acceptance, and transportation procedures.

Hazardous Material Returns

Customers requesting to return hazardous material products are solely responsible for complying with all applicable federal, state, local, and carrier regulations governing hazardous material transportation.

Unless expressly agreed otherwise in writing, customers are responsible for:

• Proper packaging.
• Required hazardous material labels.
• Shipping papers.
• Carrier selection.
• Transportation arrangements.
• Compliance with all applicable DOT regulations.
• All return shipping costs.

Energy Efficient Solutions is not responsible for arranging return transportation of hazardous material products unless specifically agreed in writing.

Returns that fail to comply with applicable hazardous material regulations or carrier requirements may be refused.

Damaged or Defective Spray Foam Products

If a customer believes a spray foam product is defective, damaged, or otherwise unsuitable for use, the customer should discontinue use immediately and contact Energy Efficient Solutions before attempting to return the product.

Manufacturer inspection, technical review, photographs, lot numbers, or additional documentation may be required before warranty eligibility or return authorization can be determined.

Nothing in these Terms & Conditions shall modify or expand any manufacturer's warranty.

16. International Orders

International customers are responsible for complying with all import laws, customs regulations, hazardous material restrictions, licensing requirements, taxes, duties, tariffs, brokerage fees, and other governmental requirements applicable within the destination country.

Energy Efficient Solutions is not responsible for products delayed, refused, seized, destroyed, or returned by customs authorities, freight carriers, governmental agencies, or other third parties.

International customers are responsible for ensuring that products purchased may legally be imported and used within their country or jurisdiction.

17. Installation, Product Use, and Customer Responsibility

Customers are solely responsible for determining whether the products purchased are suitable for their intended application, project requirements, building design, environmental conditions, and applicable building codes.

All products must be stored, handled, installed, and used in accordance with the manufacturer's current installation instructions, Technical Data Sheets (TDS), Safety Data Sheets (SDS), applicable building codes, industry standards, and all applicable federal, state, and local laws and regulations.

Energy Efficient Solutions is not responsible for improper installation, improper storage, misuse, abuse, modification, improper maintenance, incompatible applications, or failure to follow manufacturer instructions.

Customers are responsible for ensuring that installers possess the knowledge, experience, tools, equipment, and safety training appropriate for the products being installed.

Failure to follow manufacturer instructions or applicable safety requirements may void manufacturer warranties and may result in product failure, property damage, personal injury, or other losses for which Energy Efficient Solutions assumes no responsibility.

18. Spray Polyurethane Foam Safety

Spray polyurethane foam products require proper handling and should only be used by individuals familiar with the manufacturer's installation procedures and applicable safety requirements.

Customers acknowledge that spray polyurethane foam products may contain chemicals, including diisocyanates and other components, that require proper handling and personal protective equipment.

When using spray foam products, customers should:

• Review the applicable Safety Data Sheet (SDS) before use.
• Review the manufacturer's installation instructions.
• Wear all manufacturer-recommended personal protective equipment (PPE).
• Ensure adequate ventilation during application.
• Follow all manufacturer recommendations regarding occupancy restrictions during and after installation.
• Comply with all applicable OSHA, EPA, state, and local safety requirements.

Where respiratory protection is required, respirators should be NIOSH-approved and used in accordance with applicable respiratory protection standards, including any required medical evaluations, fit testing, and user training.

Customers are responsible for ensuring that all individuals involved in the application of spray foam products understand the associated hazards and proper handling procedures.

Energy Efficient Solutions encourages customers to review the most current product stewardship information published by the product manufacturer before beginning any installation.

19. Technical Advice and Product Recommendations

Energy Efficient Solutions may provide technical assistance, product recommendations, quantity estimates, installation guidance, product comparisons, or other information based upon information provided by the customer.

Such recommendations are provided in good faith solely as a customer service and are based upon the information available at the time.

Because actual project conditions vary, customers remain solely responsible for verifying:

• Product suitability.
• Product compatibility.
• Material quantities.
• Code compliance.
• Engineering requirements.
• Installation methods.
• Safety requirements.
• Finished performance.

Technical advice provided by Energy Efficient Solutions shall not constitute engineering services, architectural services, professional consulting, or a warranty of performance.

20. Manufacturer Warranties

Many products sold by Energy Efficient Solutions are manufactured by third parties and may be accompanied by manufacturer warranties.

Manufacturer warranties, if any, are the sole warranties applicable to those products and are subject to the terms, limitations, exclusions, and procedures established by the manufacturer.

Except as expressly stated in writing, Energy Efficient Solutions does not manufacture the products it sells and does not provide any additional express warranties.

To the fullest extent permitted by law, the total cumulative liability of Energy Efficient Solutions arising from any claim shall not exceed the purchase price actually paid for the specific product giving rise to the claim.

Certain jurisdictions do not allow limitations on certain damages. In those jurisdictions, the foregoing limitations shall apply only to the extent permitted by applicable law.

22. Intellectual Property
